01 / Opportunity
Valiant Eagle and Providence Film Group are evaluating the acquisition of an established production studio facility, together with a plan to rehabilitate, modernize and reposition it. The goal is owned production infrastructure: a production home for Providence Film Group’s projects and a studio business serving outside productions.
The acquisition is not represented as agreed or closed. The asset package, purchase price, contingencies and property rights depend on negotiation, diligence and definitive documentation. Property-specific details are withheld until the seller and the other transaction parties authorize their release.
02 / Vision
Sound stages and support space for film, television, commercial and digital production.
Offices and support facilities for productions working on the lot.
Power, connectivity and equipment upgrades needed by current productions.
Improvements sequenced by engineering findings, permits, demand and available capital.
03 / Redevelopment
Rehabilitation would follow property inspections and engineering review. A modernization program could include building systems, accessibility, safety and code compliance, stage and office refurbishment, and technology upgrades. Scope, cost and timing have not been determined. They depend on diligence findings, permitting, contractor pricing and financing.
04 / Technology
The plan contemplates evaluating virtual production capabilities such as LED-volume stages, real-time rendering and camera tracking, together with post-production and motion-capture support. These are potential capabilities only. Whether they are built depends on demand, capital cost, technical partners and the physical suitability of the facility.
05 / Economics
Studio businesses typically earn revenue from stage and office rentals, production services, equipment and lighting packages, and related services. Results depend on occupancy, pricing, production activity in Los Angeles, operating costs and competition from other facilities.
No revenue forecast, occupancy rate, tenant contract or valuation is represented on this page. Any projections would be provided only in definitive offering documents, with their assumptions and risks.
06 / Capital
Capital would be required for the purchase, closing costs, rehabilitation and modernization, working capital and reserves. The amounts have not been finalized and are not published here. They depend on the negotiated purchase terms, diligence results and the final rehabilitation scope.
07 / Structure
One structure under consideration separates ownership of the property from the operation of the studio business. This is illustrative only. The final structure, entities and investor rights will be set by definitive agreements.
08 / Participation
Possible approaches include an equity joint venture in a property-owning entity, a private placement of securities under an available exemption, senior or bridge debt from lenders, or a combination. No approach has been selected. Any securities would be offered only through definitive offering documents, to eligible investors, under an available exemption.
09 / Governance
A central negotiating priority for Valiant Eagle and Providence Film Group is to retain management and operating control of the studio business while outside investors provide acquisition and rehabilitation capital. Investor protections, approval rights, reporting and any lender requirements would be negotiated and documented.
10 / Buyout
Valiant Eagle also seeks a unilateral contractual option to buy out outside investors on negotiated terms. These terms would cover price, timing and conditions, and any lender consents.
A buyout option would be a right of the company, not an obligation, and not a promise of liquidity for investors. It may never be exercised, and exercising it would depend on available funds and the agreed conditions.
